Terms of Service

These Terms of Service describe the rules for using Tarnvek, a business software service that helps service businesses recover missed calls, manage customer conversations, track booked and won jobs, and request honest customer feedback. By creating an account or using Tarnvek, you agree to these terms.

These terms and policies govern use of Tarnvek. A separately executed pilot agreement or order form can add to or override these business-specific terms where it expressly says so.

1. Business use and eligibility

Tarnvek is provided for business use only. It is not a consumer product and is not intended for personal or household purposes. You must be at least 18 years old and legally able to enter contracts.

If you accept these terms on behalf of a company or other organization, you confirm that you are authorized to bind that organization, and "you" refers to both you and that organization.

2. Your account and security

  • You are responsible for the accuracy of the information you provide during signup and onboarding.
  • You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
  • You must promptly tell us if you believe your account has been accessed without authorization.
  • You are responsible for the actions of people you invite or allow to access your Tarnvek account.

3. Onboarding, pilots, plans, and pricing

Tarnvek guides you through onboarding steps that include your business details, your business phone number, missed-call forwarding setup, your review destination, and your hours and messaging preferences. Some features will not work correctly until those steps are complete and correct.

Plans and prices are the ones presented in the product at the time you select them. During a free pilot or trial period, we will not charge you, and we will not begin charging you automatically unless you separately authorize payment. If and when paid billing is enabled for your account, the terms shown at the time of purchase apply.

4. Telecom and SMS features depend on provider approval

Calling and messaging features depend on third-party telecommunications providers, carrier approvals, registration processes, and your own configuration (including call forwarding). These approvals are outside our control and are not guaranteed. Messaging or number features may be pending, limited, delayed, or unavailable for your account, and we will show status in the product rather than imply that a pending service is live.

5. Your responsibilities for messaging and data

  • You are responsible for obtaining and maintaining lawful consent to contact the people you message through Tarnvek, and for honoring opt-out requests.
  • You are responsible for confirming that you are authorized to forward calls from the phone numbers you configure.
  • You are responsible for the content of messages sent from your account, including any content you customize.
  • You are responsible for your customer lists and data, including the legal basis for collecting and using them.
  • You are responsible for complying with applicable telecom, messaging, consumer-protection, and privacy rules that apply to your business.

6. Acceptable use

  • No unsolicited bulk messaging or spam.
  • No purchased, rented, scraped, or otherwise non-consented contact lists.
  • No unlawful, deceptive, fraudulent, harassing, threatening, hateful, or abusive content.
  • No use of Tarnvek to impersonate another business or person.
  • No attempts to breach, overload, reverse engineer, or interfere with the service or its providers.
  • No use of Tarnvek for regulated message categories you are not authorized to send.

7. Reviews and honest feedback

Tarnvek's review features exist to request honest feedback from customers. You agree that you will not use Tarnvek to:

  • Filter, gate, or suppress review requests based on expected or actual sentiment.
  • Create, solicit, or publish fake or misleading reviews.
  • Offer incentives that are conditioned on leaving a positive review or a particular rating.

Review platforms have their own rules. You are responsible for complying with the policies of any platform where your reviews are collected.

8. Your data and the license we need

You retain ownership of the business and customer data you put into Tarnvek. You grant us a limited license to host, process, transmit, display, and back up that data as needed to operate and support the service for you, to keep it secure, and to comply with law.

We may use aggregated or de-identified information that does not identify you, your business, or your customers to operate and improve the service.

9. Third-party providers and integrations

Tarnvek relies on third-party providers for hosting, database, authentication, and telecommunications, and can connect to third-party destinations such as a review page you designate. Those providers and destinations operate under their own terms and policies, and we are not responsible for their services, outages, or decisions.

10. Service changes, availability, and pilot limitations

We are actively developing Tarnvek. Features may change, be added, or be removed, and some features may be labeled pilot, beta, or pending activation. Those features are provided as-is and may be incomplete or interrupted. We do not promise uninterrupted or error-free availability, and we may perform maintenance that temporarily affects the service.

11. Intellectual property

Tarnvek, including its software, design, branding, and documentation, remains our property or that of our licensors. These terms do not transfer any ownership to you. You may not copy, resell, sublicense, or create derivative works from the service except as permitted by law or expressly allowed in writing.

12. Confidentiality and data protection expectations

Each party agrees to protect non-public information the other shares in connection with the service and to use it only for the purpose of the relationship. We maintain reasonable administrative and technical safeguards designed to protect data in the service, described further in our Privacy Policy. No safeguards are perfect, and we do not guarantee that data can never be accessed without authorization.

13. Suspension and termination

You may stop using Tarnvek at any time. We may suspend or terminate access if you breach these terms, if your use creates legal, security, carrier, or provider risk, or if we are required to do so. Where practical, we will give notice and an opportunity to correct the problem. On termination, your right to use the service ends; we may retain data as needed for legal, security, and record-keeping purposes.

14. Disclaimers

Except where the law does not allow it, Tarnvek is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that every call will be captured, that every message will be delivered, that carriers or providers will approve your configuration, or that using Tarnvek will produce any particular amount of revenue, bookings, or reviews.

15. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, arising from or relating to the service. To the extent permitted by law, our total liability for all claims relating to the service is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim; if you have paid nothing, our liability is limited to one hundred U.S. dollars.

Some jurisdictions do not allow certain limitations, in which case the limitations apply only to the extent permitted.

16. Indemnity

You agree to defend and indemnify us against third-party claims, losses, and expenses arising from your misuse of the service, your message content, your contact lists or consent practices, your call-forwarding configuration, or your violation of these terms or applicable law.

17. Changes to these terms

We may update these terms as the product and legal requirements change. When we do, we will update the effective date at the top of this page. Continued use after an update means you accept the updated terms. For material changes, we may ask you to accept the new version before continuing to use Tarnvek.

18. Governing law and disputes

These terms are governed by applicable United States law, without regard to conflict-of-law rules that would apply a different body of law. The parties will first try in good faith to resolve any dispute informally. Any remaining dispute will be handled in a court or forum of competent jurisdiction, or in the venue stated in a separately executed agreement between us.

19. Other terms

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with any separately executed pilot agreement or order form, are the entire agreement about the service.
